Full Terms
Ownership of Beat
Brando Beats / 808 Brando (“Producer”) owns and retains all right, title, and interest in the underlying instrumental composition and sound recording identified in the purchase record (“Beat”). A license grants only the rights stated in this agreement and does not transfer ownership or copyright in the Beat.
New Song
The customer (“Licensee”) may combine the Beat with original lyrics, vocals, and other permitted original material to create one new song (“New Song”). Rights in the Licensee’s original contributions remain with the Licensee, subject to the Producer’s rights in the Beat and the terms below.
MP3 Lease
The $45 MP3 Lease is a non-exclusive commercial license lasting five years from purchase. It permits up to 100,000 audio streams, 2,500 paid downloads or physical copies, 100,000 monetized audiovisual views, and one music or promotional video. Commercial release, live performance, radio use, and social-media use of the New Song are permitted. The license includes the MP3 file only; WAV and stems are not included unless separately agreed in writing.
WAV Lease
The $80 WAV Lease is a non-exclusive commercial license lasting five years from purchase. It permits up to 500,000 audio streams, 10,000 paid downloads or physical copies, 500,000 monetized audiovisual views, and two music or promotional videos. Commercial release, live performance, radio use, and social-media use of the New Song are permitted. The license includes the WAV file; stems are not included unless separately agreed in writing.
Exclusive
The $400 Exclusive license grants the Licensee an exclusive commercial license for the New Song, perpetual while the Licensee complies with this agreement. It permits unlimited streams, downloads, physical copies, monetized audiovisual views, videos, commercial release, live performance, radio use, and social-media use. WAV and stems are included when available. This is not a copyright sale: the Producer retains ownership and copyright in the underlying Beat, applicable publishing, and the 3% producer royalty. After an Exclusive license is completed, no new licenses will be issued for that Beat; valid non-exclusive licenses issued earlier remain valid.
Limits and Upgrades
MP3 and WAV limits apply across all uses and platforms. The Licensee must obtain an upgrade or written extension before the applicable term or usage limit is exceeded. An upgrade is not automatic and must be confirmed by the Producer.
Credit
The Licensee must provide clear, reasonably prominent credit in metadata, descriptions, liner notes, and other customary credits wherever supported: “Prod. by 808 Brando.”
Producer Royalty
The Producer is entitled to a 3% producer royalty from exploitation of the New Song. The license fee does not waive that royalty. Accounting and payment details may be documented in a separate written agreement when needed.
Publishing and Songwriting
Publishing and songwriting ownership must reflect each party’s actual contribution. This agreement does not impose a fixed 50/50 split. The parties may document final shares in a separate split sheet, and the Producer retains the publishing interest applicable to the Producer’s contribution.
Performance Rights Organizations
Each party may register only that party’s actual share with the appropriate performance-rights organization. Registrations must be consistent with the parties’ contributions and any signed split sheet.
Content ID
A non-exclusive Licensee may not place the New Song or Beat into YouTube Content ID or any similar automated rights-claiming system without the Producer’s prior written permission. An Exclusive Licensee may request permission to do so, but any registration must respect all valid earlier non-exclusive licenses.
Videos and Audiovisual Use
The Licensee may synchronize the New Song in the number of music or promotional videos and up to the monetized-view limit allowed by the purchased license. Any other film, television, advertising, game, app, or third-party synchronization use requires the Producer’s prior written permission unless expressly included in a separate agreement.
Live Performance
The Licensee may perform the New Song live, including at commercial performances, subject to the limits of the purchased license and any obligations imposed by venues, promoters, or performance-rights organizations.
Prohibited Uses
The Licensee may not resell, redistribute, share, upload, or otherwise exploit the Beat or stems as standalone audio; upload them to a beat marketplace or stock-audio library; license them to another artist; claim production of the Beat or sole authorship of the New Song; or register the Beat by itself as the Licensee’s copyright.
Samples and Third-Party Material
This agreement grants no rights in third-party samples or other material not owned by the party providing it. Each party is responsible for disclosing and clearing third-party material that party adds. Any necessary clearance may require separate approval, fees, or restrictions.
Copyright Registration
The Licensee may register the New Song only to the extent of the Licensee’s original contributions and authorized rights. The registration must identify or exclude the preexisting Beat as required and must not claim sole ownership of the Beat or Producer’s contribution.
Distribution
The Licensee may distribute the New Song through lawful digital, physical, and social platforms within the purchased license limits. Distributors must not receive rights broader than those granted here.
Label and Distribution Deals
The Licensee may enter a label or distribution arrangement for the New Song only if that arrangement remains subject to this agreement. The Licensee is responsible for ensuring that a label, distributor, or other partner receives notice of and complies with these terms.
Transfer and Sublicensing
The license is personal to the Licensee and may not be assigned, transferred, or sublicensed without the Producer’s prior written consent. Limited rights given to a distributor, label, publisher, or service provider solely to exploit the New Song for the Licensee must remain subject to this agreement.
Payment
License rights begin only after the Producer confirms availability and receives cleared payment of the full listed price. Payment records should identify the Licensee, Beat, license type, amount, purchase date, and transaction identifier. A payment alone does not grant rights to a different Beat or license type.
Refunds
Because digital files and license rights are delivered after purchase, payments are generally final and non-refundable after delivery, except where required by law or expressly approved in writing by the Producer.
Breach
Using the Beat or New Song outside the purchased rights is a material breach. Upon material breach, the Producer may suspend or terminate the license and pursue available remedies. Paying for an upgrade after a breach does not automatically cure prior unauthorized use unless the Producer agrees in writing.
Representations
Each party represents that the party has authority to enter this agreement and to grant rights in material that party contributes. The Licensee represents that the Licensee will use the Beat and New Song lawfully and in accordance with this agreement.
Indemnification
Each party is responsible for third-party claims, damages, and reasonable costs arising from that party’s breach of this agreement or material that party contributes without the necessary rights, to the extent permitted by law.
Limitation of Rights
No right is granted by implication. All rights not expressly granted remain with the Producer. This agreement does not promise placement, promotion, commercial success, platform acceptance, or uninterrupted availability of third-party services.
Modifications
A change to a completed license must be documented in a written or electronic agreement accepted by both the Producer and Licensee. Website updates do not retroactively replace the version accepted with an earlier purchase unless both parties agree.
Illinois Law
This agreement is governed by the laws of the State of Illinois, without regard to conflict-of-law rules.
Severability
If any provision is held unenforceable, it will be limited or removed only to the minimum extent necessary, and the remaining provisions will continue in effect.
Entire Agreement
This agreement, the applicable purchase record, and any mutually signed addendum or split sheet contain the entire agreement concerning the licensed Beat and replace prior discussions about that license.
Electronic Acceptance
Electronic acceptance, including an affirmative unchecked agreement checkbox used with a completed purchase, is intended to have the same effect as a signature. The purchase record should preserve the accepted agreement version and transaction details.
